Terms of Service

VaultXchange Terms of Service

Applies to Collectors, Stores, Vendors & Promoters using the VaultXchange Service.

Effective date: September 18, 2026

1. Acceptance of terms

These Terms of Service ("Terms") are an agreement between you and VaultXChange LLC ("VaultXchange," "we," "us"). They apply to the VaultXchange store dashboard, the VaultXchange Collector app, and the native iOS/Android apps that load them (together, the "Service").

By checking the acceptance box, you agree to these Terms. If you're accepting on behalf of a business (a card shop, store, or promoter account), you're confirming you have the authority to bind that business, and "you" in these Terms means both you personally and that business.

If you don't agree, don't create an account or use the Service.

2. Definitions

  • Collector: an individual end-user account in the VaultXchange Collector app.
  • Store: a business account on the staff dashboard (Vendor, Pro, Ultimate, or Promoter tier).
  • Vendor: a Store when it applies to sell/table at another Store's Promoter Event.
  • Promoter: a Store with the Event Promoter add-on, hosting a Promoter Event.
  • Staff: an individual user with login access to a Store's account.

3. Eligibility & accounts

You must be at least 18 years old to create a Store account, and at least 13 to create a Collector account (with a parent or guardian's consent if you're under 18). You're responsible for keeping your login credentials confidential and for everything that happens under your account.

4. Collector accounts

The Collector app lets you track your collection, submit cards to Stores for trade-in/purchase (Sell Your Cards/Buylist), trade directly with other Collectors and Stores (XChange), browse Store storefronts and events, and message Stores you're linked to.

Sell Your Cards & trade-ins

When you submit cards to a Store, you're making an offer to sell at the price the Store's system quotes, subject to the Store's own physical inspection. VaultXchange doesn't set these prices and isn't a party to the resulting purchase. That transaction is between you and the Store.

XChange

VaultXchange is not a party to any XChange trade and doesn't inspect, authenticate, grade, or guarantee the condition, authenticity, or value of any card involved. Disputes about a completed trade are between the two parties to it.

Centering Analysis

Centering Analysis measures a card's physical centering from a photo you take. Comparisons against PSA, Beckett (BGS), and CGC published centering tolerances are for informational reference only.

Centering Analysis is not an official grade from PSA, Beckett, CGC, SGC, or any other professional grading company. It does not evaluate all grading factors such as corners, edges, surface, print defects, authenticity, alterations, or other characteristics, and it does not predict or guarantee the grade a card may receive from a professional grading service.

Collectors

4a. VaultXchange+ subscription

VaultXchange+ is an optional paid subscription in the Collector app that unlocks additional features. It's billed through the Apple App Store or Google Play Store by our subscription-billing provider, not directly by VaultXchange.

You manage, cancel, and request refunds for VaultXchange+ through your Apple or Google account settings, under Apple's or Google's own subscription and refund policies. Deleting your Collector account does not cancel an active VaultXchange+ subscription — cancel it through Apple or Google first, or you'll continue to be billed.

Stores & Promoters

5. Store accounts & subscriptions

Store accounts are billed on a subscription (Vendor, Pro, Ultimate, or Promoter tier, monthly or yearly), processed by our payment & billing processor. Subscriptions renew automatically at the then-current price unless auto-renew is turned off before the renewal date.

Refunds. Monthly subscriptions are non-refundable. If you cancel a monthly plan, it stays active through the end of the billing period you already paid for, then doesn't renew.

If you cancel a yearly subscription early, the two most recent months' worth of your annual fee are withheld (non-refundable), and the remaining unused portion is refunded to you.

Employee accounts. As a Store owner/manager, you're responsible for the conduct of every Staff account under your Store.

6. Trade-In, Buylist & Point of Sale

The Service surfaces market pricing data from third-party sources to help you set trade-in and purchase offers. This pricing data is informational only. We don't guarantee its accuracy, completeness, or timeliness, and you're solely responsible for the prices you actually offer customers.

7. Store credit

Store credit issued through the Service represents a Store's own liability to its customer. It is not a VaultXchange product, has no cash value outside the issuing Store, and is not redeemable anywhere else. Each Store is solely responsible for honoring the balances it issues and complying with applicable law.

8. XChange trading network

XChange connects Stores to each other and to Collectors for direct trades. VaultXchange facilitates the connection but is not a party to, and does not guarantee, any XChange trade.

9. Promoter Events & marketplace payments

Applications & approval

The decision to approve, waitlist, reject, or block a Vendor is made solely by the Promoter, at their sole discretion. VaultXchange doesn't review, approve, or mediate these decisions.

Table-fee payments (connected merchant accounts)

Where a Promoter has enabled in-app payments, a Vendor's table-fee payment is processed by our payment & billing processor as a direct charge to the Promoter's own connected merchant account:

  • The Promoter is the merchant of record: the charge, receipt, and statement descriptor are theirs, not VaultXchange's.
  • VaultXchange is not a party to the payment, does not hold or route the funds, and charges no fee on this transaction.
  • Refunds, cancellations, chargebacks, and disputes are between the Vendor and the Promoter. VaultXchange has no obligation to refund, arbitrate, or reverse these payments.
  • A Promoter accepting payments this way is independently responsible for their own tax reporting and compliance with our processor's own terms for connected accounts.

10. Community, chat & notifications

Community channels and event chat are meant for legitimate discussion between Stores and Collectors. You agree not to use them to harass, threaten, or post unrelated content. Collectors can report content or another User, and can block another Collector to stop future direct messages from them. See our Privacy Policy for how reports and blocks are handled. By enabling push notifications in the Collector app, you consent to receive them. Turn them off in your device settings anytime.

11. Content & data

You keep ownership of the content you submit. By submitting it, you grant VaultXchange a license to store, display, and transmit it as necessary to operate the Service. You're responsible for having the rights to anything you upload.

12. Fees & payments

VaultXchange charges Stores a subscription fee for use of the Service. VaultXchange does not charge a transaction fee on Promoter Events table-fee payments, XChange trades, or Sell Your Cards submissions.

12a. Affiliate & referral program

If you join VaultXchange's affiliate or referral program (as a Store or as a Collector), your participation is opt-in and subject to whatever program terms you agree to when you join. Commissions are tracked and paid through our payment and subscription-billing providers.

Commissions aren't guaranteed and may be reduced, withheld, or clawed back for fraud, abuse, refunds, or chargebacks on the referred transaction. You're solely responsible for any tax owed on commissions you receive, and VaultXchange may request tax information from you and issue applicable tax forms where required by law.

12b. Giveaways & prizes

Platform giveaways (run by VaultXchange itself, for Stores or Collectors) are open only to eligible account holders as described in-app at the time of entry. No purchase is necessary to enter unless stated otherwise in-app. Winners are selected as described in-app and notified through an official in-app winner message thread, which may ask for details needed to fulfill the prize (like a shipping address).

Promoter-run event giveaways (run by a Promoter at their own Promoter Event) work the same way Promoter Events do elsewhere in these Terms: the Promoter, not VaultXchange, is the sponsor and is solely responsible for that giveaway's rules, eligibility, and prize fulfillment. VaultXchange is not a party to it.

For any giveaway, winners are solely responsible for any tax liability on the value of a prize they receive. The sponsor of a giveaway (VaultXchange for a platform giveaway, the Promoter for an event giveaway) may request tax information (such as a W-9) and issue applicable tax forms (such as a 1099-MISC) for prizes that meet IRS reporting thresholds. Entries that violate these Terms may be disqualified. Void where prohibited by law.

13. Prohibited conduct

You agree not to: list/trade/sell counterfeit, stolen, or illegal items; misrepresent a card's condition, grading, or authenticity; engage in fraud, scams, or other deceptive practices; circumvent Store subscription fees or misuse promo codes; scrape or bulk-extract data from the Service; harass, threaten, or post hateful or abusive content toward another User; post spam or unrelated content, or misuse messaging/community features; impersonate another Store, Collector, or VaultXchange itself; or interfere with the security or normal operation of the Service.

We may review reports of a violation of this section and take action (including removing content or suspending or terminating an account under Section 15) at our discretion.

14. Third-party services

The Service relies on third-party providers, including payment & billing processors (billing and Promoter Events payments), one or more card pricing & identification data providers (market pricing and card-identification data: receives card-identification queries, including photos of physical cards submitted through card-scan features, and returns pricing/comparable-sale data; never sent customer personal information, payment details, or store business records), notification providers (push notifications), and cloud hosting, database & artificial intelligence service providers that the Service runs on. See our Privacy Policy for how each category handles your information. VaultXchange isn't responsible for these providers' outages or errors.

15. Suspension & termination

We may suspend or terminate your account, or your access to any part of the Service, for any reason or no reason, with or without notice. Where practical we'll give notice first; we're not obligated to where we reasonably believe immediate action is needed (fraud, illegal activity, security risk, or a legal requirement).

Sections that by their nature should survive termination do, including Content & Data, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Disputes & Governing Law.

16. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant the Service will be uninterrupted, secure, or error-free, or that pricing data or valuations shown will be accurate.

17. Limitation of liability

To the maximum extent permitted by law, VaultXchange will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

VaultXchange's total aggregate liability arising out of these Terms or the Service will not exceed the greater of (a) the total subscription fees you paid VaultXchange in the 12 months before the claim arose, or (b) one hundred dollars ($100). This cap doesn't apply to amounts a Vendor or Collector pays directly to another User. VaultXchange was never a party to that payment.

18. Indemnification

You agree to defend, indemnify, and hold harmless VaultXchange from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your content, your violation of any law or third-party right, or a transaction you conducted through the Service that VaultXchange was not a party to.

18a. Intellectual property & copyright

The Service, including its software, design, branding, and all content VaultXchange itself creates, is owned by VaultXchange or its licensors. Nothing in these Terms grants you any right to use VaultXchange's trademarks or branding without our prior written consent.

19. Disputes & governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws rules.

Agreement to arbitrate

You and VaultXchange agree that any dispute arising out of these Terms or the Service will be resolved by binding, individual arbitration administered by the American Arbitration Association, seated in Clark County, Kentucky. Disputes must be brought individually, not as a class action. Either party may bring an individual claim in small-claims court if it qualifies, or seek injunctive relief in court for misuse of the Service or IP infringement. Both parties waive any right to a jury trial for an arbitrable claim.

20. Changes to these terms

We reserve the right to modify, amend, or replace these Terms at any time, for any reason, in our sole discretion. We'll post the updated version here with a new effective date, and for material changes, ask active Users to re-accept before continuing to use the Service. Your continued use of the Service after a change takes effect is your acceptance of the revised Terms.

20a. Force majeure

VaultXchange isn't liable for any delay or failure caused by events beyond our reasonable control, including natural disasters, war, civil unrest, or outages of a third-party service the Service depends on.

20b. Assignment, severability & entire agreement

VaultXchange may assign these Terms without your consent (e.g. in a merger or sale of assets). You may not assign your rights without our prior written consent. If any provision is found unenforceable, the rest remain in full effect.

These Terms, together with the Privacy Policy and any event-specific terms a Promoter posts, are the entire agreement between you and VaultXchange regarding the Service.
